Proposed By-Law Change at the 2014 AGM
Friendly reminder – our Annual General Meeting is coming up on November 30th!
There is a proposed by-law change which will be voted on at the meeting:
Motion to amend the TVA Bylaw Article 7, section 3 from the current “A majority of the full complement of the Board shall constitute a quorum” to read “A majority of the currently existing complement of the Board shall constitute a quorum. A quorum shall not consist of fewer than four (4) board members.”
The Board of Directors undertook this change in our By-laws to ensure that the quorum requirement for board meetings could be met efficiently, even if a few directors were to resign mid-year.
Under the old provisions, it was interpreted that we would always require six (6) or more directors to hold a meeting (there are eleven (11) total positions, but mid-term resignations are not uncommon). At the same time, we recognized that if the board shrank to far, it could become unhealthy and unrepresentative to hold board meetings with just a few people.
The proposed change would reduce the quorum requirement to five (5) if we had eight (8) or nine (9) serving directors, or four (4) if we had seven (7) or fewer directors.
The Board approved this change in January. As the board has had ten (10) directors this year, the amendment has made no difference to the effective quorum requirement for board meetings. In order to continue to operate with this amendment, it must be approved by 2/3 of votes cast at our 2014 Annual General Meeting.

Please note: The Toronto Vegetarian Association’s Annual General Meeting is a private function open to TVA members only. Non-members who wish to attend will be required to join as members of the TVA and only members in good standing 30 days prior to the election are eligible to vote.
When? Sunday, November 30th from 4:00 to 7:00 pm. (Meet ‘n greet from 4:00 to 4:30, meeting called to order at 4:30 pm).
